These Terms of Service (“Terms”) are a binding legal agreement between Troth (“Troth,” “we,” “us,” or “our”) and the business that creates an account or uses our Services (“Vendor,” “you,” or “your”).
PLEASE READ THESE TERMS CAREFULLY. By clicking “I agree,” creating an account, or otherwise accessing or using the Services, you agree to be bound by these Terms and confirm that you are authorized to enter into them on behalf of your business. If you do not agree, do not create an account or use the Services.
These Terms include important provisions that limit our liability and require you to take responsibility for your own outreach. Sections that affect your legal rights — including the data-accuracy disclaimer (Section 7), the acceptable-use rules (Section 5), the disclaimer of warranties (Section 8), the limitation of liability (Section 9), and indemnification (Section 10) — are written in capitalized or bold text and apply to your use of the Services.
Our Privacy Policy is incorporated into these Terms by reference. The Privacy Policy governs how we handle publicly sourced wedding-planning data and your account data; these Terms govern your use of the product.
1. Acceptance of Terms; Agreement Structure
1.1 Binding agreement. By clicking “I agree,” creating an account, purchasing a paid feature, or accessing or using the Services, you accept these Terms and enter into a binding contract with Troth.
1.2 Who is bound. “You” means the wedding-industry business that the account belongs to. The individual who accepts these Terms represents and warrants that they are authorized to bind that business, and the business is responsible for all activity under its account.
1.3 Entire agreement. These Terms, together with our Privacy Policy and any plan, order, or pricing details you agree to, are the entire agreement between you and Troth regarding the Services and supersede all prior or contemporaneous discussions, proposals, and agreements. If there is a conflict between these Terms and a written order you sign with us, the order controls for the conflicting term only.
1.4 Definitions. “Services” means the Troth platform, websites (including trothhq.com), software, ranked couple feed, scoring and ranking outputs, and all paid features (including Deep Search and any subscription tiers). “Signals” means the wedding-intent indicators, scores, rankings, estimated dates, contact channels, and other interpretations Troth surfaces about couples.
2. Eligibility and Account Registration
2.1 Business accounts only. The Services are offered solely to legitimate wedding-industry businesses for use in their own commercial wedding-services operations. The Services are not for consumers, couples, the general public, or competitors seeking to build, train, or supply a rival product or dataset.
2.2 Eligibility. You must be at least 18 years old and capable of forming a binding contract. You must be acting on behalf of a real wedding business that you are authorized to represent.
2.3 Accurate information. You agree to provide accurate, current, and complete registration information — including your business name, vendor category, and service area (state and city) — and to keep it updated. The accuracy of this information matters: Troth scopes the couples and Signals you see to your stated category and service area. False or inaccurate information will corrupt what you see and may result in suspension.
2.4 Account security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at privacy@gettroth.com of any unauthorized use.
2.5 No account sharing. Because your feed is scoped per business, you may not share, sell, transfer, or provide access to your account or its data to any other business or to anyone outside your business.
2.6 Geographic availability. The Services currently operate only in Texas wedding markets and are expanding over time. If you do not serve weddings in a covered market, you may join a waitlist; a waitlist entry is not an account and is not a purchase, and we do not guarantee that the Services will become available in any particular area or at any particular time.
3. Description of the Services; Honest Framing
3.1 What Troth is. Troth aggregates publicly available wedding-intent signals — including public wedding registries and listings (such as Zola, The Knot, WithJoy, and Minted) and public social media profiles — and interprets them into a ranked feed of couples. The feed helps you decide which couples to contact and through which public channel, scoped to your service area, category, and business profile.
3.2 What Troth does NOT do. You expressly acknowledge and agree that:
- (a) Troth does not send any outreach on your behalf. Every email, Instagram direct message, text message, call, or other contact is composed and sent by you, from your own accounts, under your own business identity. The product may let you copy a suggested draft and mark a message as sent for your own record-keeping, but Troth never transmits a message to any couple.
- (b) Troth does not access private or paywalled content. We do not buy or resell contact lists, access private accounts, or use information behind logins.
- (c) Troth does not guarantee any couple is engaged, getting married, located where shown, currently in-market, reachable, or open to being contacted.
- (d) Troth does not guarantee any booking, lead quality, response, conversion, revenue, or other business outcome.
3.3 Signals are interpretations. Signals, scores, rankings, and estimated wedding dates are automated interpretations of public information. They are estimates, not verified facts, and are presented as such in the product. We think a couple may be planning a wedding — but you must verify before you connect.
3.4 Right to modify the Services. We are continually developing the Services and may add, change, suspend, or remove features, sources, scoring methods, or functionality at any time. A change to or removal of any feature is not a breach of these Terms.
4. Fees, Billing, Auto-Renewal, and Refunds
4.1 Paid features. The Services include features that may be offered for a fee, including the Deep Search feature and, where offered, subscription plans. Some features are subject to usage limits (for example, Deep Search is currently subject to a monthly per-account limit to prevent abuse).
4.2 Payment processor. Where Troth charges for paid features, payments are processed by our third-party payment processor, Stripe. By providing payment information, you authorize the applicable one-time and/or recurring charges. We do not store your full card details; payment-card data is handled by Stripe under its own terms and privacy policy. You are responsible for any taxes other than taxes on Troth’s income.
4.3 Subscriptions and auto-renewal. Where you purchase a subscription, the plan begins on the date of purchase and continues for the term you select. SUBSCRIPTIONS AUTOMATICALLY RENEW at the end of each term for a successive term of the same length, at the then-current price, unless you cancel before the renewal date. You may cancel at any time before renewal by contacting privacy@gettroth.com. Cancellation takes effect at the end of the current term; you retain access until then.
4.4 Price changes. If we change your recurring subscription price, we will make reasonable efforts to notify you, by your account email, before the change takes effect. If you do not agree to a price change, you may cancel before the change takes effect.
4.5 Failed payments. If a charge fails, we may retry the charge, suspend access to paid features, and/or downgrade or terminate your account until payment is resolved.
4.6 Deep Search; “search effort, not a guaranteed result.” Deep Search returns Troth’s best automated effort against available public sources at the time of your request. A Deep Search that returns few, no, or imperfect results — including candidates that require your review or verification — is not a failure of the Services, because you are paying for the search effort, not for a guaranteed or accurate result. Consumed Deep Search usage (and any credits, if offered) is non-refundable.
4.7 Refunds. Except as required by applicable law or as expressly stated in these Terms, all fees are non-refundable, including subscription fees once a term has begun or renewed and any consumed Deep Search usage.
5. Acceptable Use — Your Outreach Is Your Responsibility
Troth helps you decide who to contact and through which public channel. Troth does not contact anyone for you. YOU — NOT TROTH — ARE SOLELY RESPONSIBLE FOR ALL OUTREACH YOU SEND AND FOR HOW, WHEN, AND TO WHOM YOU SEND IT.
As a condition of using the Services, you represent, warrant, and agree that you will, at your own expense:
5.1 Comply with communications laws. Comply with all laws and regulations governing your communications, including without limitation:
- the CAN-SPAM Act for commercial email — using accurate “From,” “Reply-To,” and header information, non-deceptive subject lines, identifying commercial email as an advertisement where required, including a valid physical postal address, and honoring opt-out requests within ten (10) business days; and
- the Telephone Consumer Protection Act (TCPA) and applicable FCC rules and state telemarketing/texting laws — including obtaining any legally required prior express written consent before sending marketing calls or texts, and honoring revocation of consent by any reasonable means within ten (10) business days.
5.2 Comply with third-party platform rules. Comply with the terms of service, platform policies, and community guidelines of any third-party platform you use to find or contact a couple, including the Instagram and Meta Platform Terms. You will not use the Services to power, feed, or facilitate bulk, automated, bot-driven, or scripted messaging, mass DMing, fake or unauthorized accounts, or any other activity those platforms prohibit. Troth provides intelligence; you alone control and are responsible for your conduct on Instagram, email, and any other channel — including any ban, block, or restriction of your accounts.
5.3 Outreach conduct. Send only outreach that is truthful, relevant to your wedding business, and that is not harassing, threatening, deceptive, discriminatory, sexually explicit, or otherwise abusive. You will not repeatedly contact, mass-message, or harass any person.
5.4 Honor opt-outs and removals across ALL channels. If Troth indicates that a couple has opted out or been removed, or if a person asks you to stop contacting them or you have reason to believe they do not wish to be contacted, you must immediately cease all outreach to that couple or person across every channel — including Instagram, email, phone, and text — regardless of whether Troth mechanically blocks a particular channel. You will not attempt to re-identify, work around, or circumvent any removal or do-not-contact status.
5.5 Do not contact minors. You will not use the Services to contact minors, and you will use the Services only to offer bona fide wedding-vendor services within your service area.
5.6 Not a consumer report. You will not use any couple information obtained through the Services to make, or to help anyone else make, decisions about a person’s eligibility for credit, insurance, employment, housing, or any other purpose covered by the Fair Credit Reporting Act (FCRA). The Services are not a consumer report, and Troth is not a consumer reporting agency.
5.7 Protect the Services and the data. You will not, and will not permit anyone to: (a) resell, redistribute, publish, or otherwise make available couple data or Signals to any third party; (b) re-identify, combine, enrich, or use couple data or Signals to build, train, or supply a competing product, dataset, or data-broker service; (c) scrape, bulk-export, crawl, or systematically copy the Services beyond your own ordinary in-product use; (d) reverse engineer, decompile, probe, or interfere with the Services or attempt to gain unauthorized access; or (e) use the Services in violation of any law or in any way that could damage, disable, or impair them.
5.8 Use the Services only for your own business. You may use the Services and the data only for your own legitimate wedding-services outreach.
We may investigate, and may suspend or terminate your access immediately, for any actual or suspected violation of this Section 5.
6. Intellectual Property and License
6.1 Troth ownership. Troth owns and retains all right, title, and interest in and to the Services, including the platform, software, websites, the aggregated dataset, our scoring and ranking logic (including any “ShownRank”/VOS scoring), the user interface, and all related trademarks, logos, and content. No rights are granted to you except as expressly set out in these Terms.
6.2 Limited license to you. Subject to your compliance with these Terms, Troth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the feed and the Services during your subscription, solely for your own wedding-services outreach.
6.3 The data is licensed, not sold. The underlying public-signal data is licensed to you for that limited use only. It is not sold to you, and you acquire no ownership of it. This reinforces the no-resale and no-competing-dataset restrictions in Section 5.
6.4 Feedback and usage data. You grant Troth a perpetual, irrevocable, royalty-free license to use de-identified and aggregated usage data and any feedback, suggestions, or ideas you provide, to operate, improve, and develop the Services. This perpetual license applies only to de-identified, aggregated usage data and your feedback; it does not extend the retention of any couple personal data, which we retain and purge on the schedule described in our Privacy Policy. We will not publish couple personally identifying information from your usage data.
7. Data Accuracy — Signals Are Inferences, Not Facts
THIS SECTION IS IMPORTANT. READ IT CAREFULLY.
Troth identifies couples and surfaces Signals by collecting and interpreting information that is publicly visible — including public wedding registries and listings (such as Zola, The Knot, WithJoy, and Minted) and public social media profiles — and by applying automated inferences (such as timing, fit, category, estimated dates, and opportunity) on top of that public information. Because the Services are built on third-party public data and automated inference, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- (a) Signals are predictions and interpretations, not verified facts. Any couple, name, contact detail, wedding date, location, budget, vendor need, social handle, or other attribute we surface MAY BE INACCURATE, INCOMPLETE, OUT OF DATE, MIS-ATTRIBUTED, RECYCLED FROM A PRIOR OR CANCELLED EVENT, OR MAY REFER TO THE WRONG PERSON, AND A COUPLE MAY HAVE OPTED OUT OR MARRIED SINCE.
- (b) The presence of a couple or Signal in the Services is NOT a representation that the couple is currently engaged, planning a wedding, in-market, reachable, or available to be booked, and is NOT a representation that any contact channel shown (such as an email address or Instagram handle) is correct, current, monitored, or appropriate to use.
- (c) Troth does NOT guarantee, and expressly disclaims any warranty of, accuracy, completeness, or currency, and does NOT guarantee any booking, lead, response, conversion, revenue, or other outcome.
- (d) YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY SIGNAL, COUPLE, OR CONTACT DETAIL BEFORE YOU RELY ON IT OR USE IT TO CONTACT ANYONE. Verify before you connect. You assume all risk of acting on any Signal.
8. Disclaimer of Warranties
THE SERVICES, AND ALL SIGNALS, SCORES, RANKINGS, AND DATA, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TROTH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TROTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR COUPLE, SIGNAL, OR VOLUME OF SIGNALS WILL BE AVAILABLE AT ANY TIME. TROTH DOES NOT WARRANT THAT THIRD-PARTY SOURCES (SUCH AS PUBLIC REGISTRIES OR SOCIAL PLATFORMS) OR THIRD-PARTY PLATFORMS YOU USE FOR OUTREACH WILL REMAIN AVAILABLE OR ACCURATE. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TROTH AND ITS OWNER, AFFILIATES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST BOOKINGS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND EVEN IF TROTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, TROTH IS NOT LIABLE FOR ANY HARM ARISING FROM (i) THE INACCURACY, STALENESS, OR MIS-ATTRIBUTION OF ANY SIGNAL OR DATA, (ii) ANY COUPLE’S NON-RESPONSE, UNAVAILABILITY, OR DECISION NOT TO BOOK, OR (iii) ANY OUTREACH YOU SEND OR ANY CONSEQUENCE OF THAT OUTREACH, INCLUDING ANY PLATFORM BAN, BLOCK, OR ACCOUNT RESTRICTION.
TROTH’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO TROTH FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. Indemnification
You will defend, indemnify, and hold harmless Troth and its owner, affiliates, contractors, and agents from and against any and all third-party claims, demands, investigations, regulatory actions, losses, damages, fines, penalties, and reasonable attorneys’ fees and costs that arise out of or relate to:
- (a) any outreach, message, call, or contact you send to or about any couple or person;
- (b) your violation of any law or regulation, including CAN-SPAM, the TCPA, the FCRA, or any state anti-spam, telemarketing, or consumer-protection law;
- (c) your violation of any third-party platform’s terms (including the Instagram/Meta Platform Terms);
- (d) your breach of these Terms, including the Acceptable Use rules in Section 5;
- (e) your reliance on any Signal, couple, or contact detail that you did not independently verify; or
- (f) any claim that your contact with a person was unwanted, harassing, deceptive, or otherwise wrongful.
Troth may, at its option and your expense, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Troth’s defense. You may not settle any matter in a way that imposes any obligation or liability on Troth without Troth’s prior written consent.
11. Term, Suspension, and Termination
11.1 Term. These Terms apply for as long as you access or use the Services.
11.2 Termination by you. You may stop using the Services and cancel your account at any time (subject to the billing terms in Section 4).
11.3 Suspension and termination by Troth. We may suspend or terminate your access immediately, with or without notice, for non-payment, security or legal risk, or any violation of these Terms — including abusive outreach, data resale, or other breaches of Section 5.
11.4 Effect of termination. On termination or expiration: (a) your license and feed access end; (b) you must stop using, and must delete, any Troth-sourced data in your possession; and (c) any fees owed become immediately due.
11.5 Couple removals persist independently. Couple removal, opt-out, and suppression records are maintained independently of any vendor account and survive the termination of any account. Terminating your account does not entitle you to retain, keep using, or re-acquire any couple data, and does not affect any couple’s removal rights described in our Privacy Policy.
11.6 Survival. Sections 4 (for amounts owed), 5.7, 6, 7, 8, 9, 10, 11, 12, and 14 survive any termination or expiration of these Terms.
12. Governing Law and Dispute Resolution
12.1 Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
12.2 Informal resolution first. Before bringing any formal claim, the parties will attempt in good faith to resolve any dispute informally by contacting privacy@gettroth.com and allowing at least thirty (30) days to resolve the matter.
12.3 Venue. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and notify you through the product and/or your account email. For non-material changes, your continued use of the Services after the effective date constitutes acceptance. For material changes — such as changes to price, liability, or dispute-resolution terms — we will provide more prominent notice (for example, by email), and where required by law we will obtain your consent before the changes apply to you. We will maintain prior versions for reference.
14. General
14.1 Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full effect.
14.2 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
14.3 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, financing, or sale of assets.
14.4 Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including outages of third-party sources, platforms, or infrastructure.
14.5 Relationship. The parties are independent contractors. These Terms do not create any partnership, joint venture, agency, or employment relationship.
14.6 Notices. Notices to you will be sent to your account email. Notices to Troth must be sent to privacy@gettroth.com.
14.7 Couples are not parties. The individuals whose public wedding signals appear in the Services are not parties to these Terms and gain no rights or obligations under them. Their rights, including removal and opt-out, are described in our Privacy Policy and the removal flow at trothhq.com/privacy/optout.
